Terms of Service
These Terms of Service govern your use of the website, services, APIs, and other offerings provided by Agentic Commerce Inc. DBA Catalog (“Catalog”, “we”, “our”, or “us”), collectively the “Services”.
1. Agreement to These Terms
By accessing or using the Services, you agree to these Terms. If you do not agree, do not use the Services. You must be legally able to enter into an agreement. If you use the Services on behalf of an organization, you represent that you have authority to bind it, and “you” includes that organization.
If you and Catalog have a separate written agreement, order form, or data processing agreement covering particular Services, that agreement controls to the extent it conflicts with these Terms. These Terms do not change the commercial terms of an existing customer agreement.
2. Our Services
Catalog helps businesses organize, enrich, and distribute product information for use by AI systems and other digital channels. Our Services may include website content, product-data tools, APIs, integrations, audits, and reports. Access to particular features depends on the Services we agree to provide to you.
We may update the Services over time. Service levels, support commitments, and delivery obligations are those expressly stated in your applicable written agreement.
3. Accounts and Access
Where an account or API credentials are required, provide accurate information and keep it current. Protect your login details and API keys, limit access to authorized users, and promptly tell us if you become aware of unauthorized access. You are responsible for the activity of people and systems you authorize to use your account.
Use the Services within the permissions, usage limits, and documentation applicable to your access. Do not share or resell access except as permitted by your agreement with Catalog.
4. Acceptable Use
You must not use the Services to:
- Violate applicable law or another person’s privacy, intellectual property, or other rights.
- Submit unlawful, fraudulent, misleading, or malicious content, or impersonate another person or organization.
- Introduce malware, disrupt the Services, or interfere with other users’ access.
- Access accounts, systems, or data without authorization, or bypass authentication, security controls, or usage limits.
- Reverse engineer non-public parts of the Services except where applicable law permits it.
Automated access to our public resources and documented APIs is permitted within the applicable access rules and rate limits. This permission does not grant access to private customer data or authorize disruptive activity.
5. Your Content and Data
You retain your rights in the product information, images, documents, and other materials you provide to the Services (“Customer Content”). You are responsible for having the rights, permissions, and lawful basis needed to provide that content and authorize its use through the Services.
You grant Catalog a non-exclusive license to host, copy, process, adapt, and transmit Customer Content only as needed to provide the Services to you and carry out your instructions, subject to your applicable agreement. This includes sharing content with service providers and destinations as needed for the Services you authorize. It does not transfer ownership to Catalog.
You are responsible for the accuracy and legality of your product information and for reviewing content before approving publication or distribution. Do not provide sensitive personal information that is unnecessary for the Services. Our handling of personal information is described in our Privacy Policy and any applicable data processing agreement.
6. Catalog Materials
Catalog and its licensors retain their rights in the Services, software, website content, branding, and related technology, excluding Customer Content and other third-party materials. You may use these materials as needed for your permitted use of the Services. No ownership rights are transferred to you. Do not remove ownership notices or imply Catalog’s endorsement without permission.
7. AI Output and Third-Party Services
AI-generated content, enriched data, audits, and recommendations can contain errors or omissions. Review outputs and verify important facts before relying on them or publishing them. Audits and reports reflect the information and methods available at the time of evaluation.
We do not control third-party AI models, search engines, marketplaces, or websites. We do not guarantee that any product or business will be indexed, cited, recommended, ranked, or selected by them, or that the Services will produce a particular traffic, sales, or revenue result.
Third-party links, tools, and integrations may have their own terms and privacy policies. You are responsible for your use of those services and for authorizing any connection to them.
8. Fees and Paid Services
Fees, payment schedules, usage allowances, subscription periods, renewal terms, cancellation rights, and refunds for paid Services are set out in the order form or other agreement you accept. These Terms alone do not enroll you in a paid subscription or create an automatic renewal obligation. Applicable taxes and payment obligations are governed by that agreement and applicable law.
9. Suspension and Termination
You may stop using the website at any time. Ending paid Services is subject to the cancellation and termination provisions in your agreement. We may restrict or suspend access when reasonably necessary to address a material breach of these Terms, a security threat, or a legal requirement. Where reasonably practicable, we will provide notice and an opportunity to resolve the issue.
On termination, your right to access the affected Services ends. Data return, deletion, and outstanding payment obligations are subject to your applicable agreement, our Privacy Policy, and applicable law. Provisions that by their nature should survive termination will continue to apply.
10. Disclaimers
Except as expressly provided in a separate written agreement and to the extent permitted by law, the Services are provided “as is” and “as available”. Catalog disclaims implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted, error-free, or that all content will be accurate or complete.
11. Limitation of Liability
To the extent permitted by law and subject to any separate written agreement, Catalog will not be liable for indirect, incidental, special, consequential, or punitive damages, or lost profits, revenue, business opportunities, or goodwill arising from your use of the Services.
Nothing in these Terms excludes or limits liability for fraud, willful misconduct, gross negligence, or any liability or statutory right that cannot lawfully be excluded or limited. If applicable law does not allow a limitation in these Terms, that limitation applies only to the extent permitted by that law.
12. Governing Law
These Terms are governed by the laws of the State of California, without regard to its conflict of law principles, except as otherwise provided in your applicable written agreement. This does not deprive you of mandatory protections available under the law that applies to you.
13. Changes to These Terms
We may update these Terms by posting a revised version with an updated date. Changes apply prospectively. We will provide reasonable notice of material changes through the Services or by contacting you, and obtain consent where required by law. Your continued use after the updated Terms take effect constitutes acceptance to the extent permitted by law. Changes to a separate signed agreement must follow that agreement’s amendment process.
14. General Terms
If a provision is found unenforceable, the remaining provisions remain in effect. A failure to enforce a provision is not a waiver of the right to enforce it later. These Terms, together with applicable agreements for the Services, form the agreement between you and Catalog regarding their subject matter.
